Terms of Use of the Põhjala Order Portal

1. Who we are and what these terms cover

The order portal at order.pohjalabeer.com (the “Portal”) is operated by Põhjala Brewing AS, registry code 12208941, VAT EE101548241, Peetri tn 5, 10415 Tallinn, Estonia(“Põhjala”, “we”). These Terms of Use apply to every use of the Portal. By creating an account or using the Portal, the business you represent (the “Customer”) accepts these terms, and you confirm that you are authorised to accept them on its behalf.

2. Business customers only

The Portal is only for businesses that buy Põhjala products for resale or for their own business, such as importers, distributors and wholesalers. It is not intended for consumers. The Customer confirms that it holds, and will keep, every licence and registration that its country requires to import, hold, sell and pay duties on alcoholic beverages, and that its users are of legal age. Põhjala may refuse, limit or close any account at its discretion.

3. Accounts and security

1. Accounts are personal. Each person needs their own account; logins must not be shared.
2. The Customer keeps passwords and two-factor devices safe and is responsible for everything done with its accounts. We recommend turning on two-factor login.
3. Tell us at once at order@pohjalabeer.com if you suspect misuse of an account.
4. We may suspend an account, without notice, to protect the Portal, our information or the Customer.

4. Information shown in the Portal

Stock levels, batches, best-before dates, prices, pallet counts and product descriptions come from our internal systems and are shown for convenience only. They are indicative, change constantly, may be rounded or shown as ranges, and may contain errors. They are not an offer and do not reserve any goods. Pallet counts and totals are estimates.

5. Orders

1. An order sent through the Portal is the Customer’s request to buy. A contract is formed only when Põhjala confirms the order in writing (for example by sending an order confirmation or a confirmed sales order), and only on the terms of that confirmation.
2. Põhjala may decline an order, or confirm it with different quantities, batches, best-before dates, prices or delivery dates. A preferred batch is a wish, not a commitment. Obvious errors in prices or stock may be corrected even after confirmation.
3. Unless agreed otherwise in writing, prices exclude VAT, excise duties, deposits, transport and insurance, and delivery and payment terms are those in the order confirmation or the parties’ agreement.
4. The sale of goods is governed by the order confirmation, any distribution or supply agreement between Põhjala and the Customer, and Põhjala’s general sales terms. Where they differ from these Terms of Use on the sale of goods, they prevail.

6. Confidential information and permitted use

Everything shown in the Portal that is not public, including stock levels, batches, production and best-before dates, prices, price lists and order history, is Põhjala’s confidential business information. The Customer may use it only to plan and place its own orders with Põhjala. The Customer and its users must not:

• access the Portal with scripts, bots, crawlers, scrapers or any other automated means, or try to get around its security, rate limits or the way information is shown;
• systematically copy, download, record or store information from the Portal, or compile it over time, beyond what is needed for the Customer’s own orders;
• use Portal information to monitor, analyse, estimate or report on Põhjala’s sales, production, inventory, prices or business performance, or for benchmarking;
• disclose Portal information to anyone outside the Customer’s own staff who need it for ordering, in particular to other breweries, competitors or the press;
• share accounts or let anyone else use them.

We monitor use of the Portal (for example how often stock pages are opened) to protect this information. If these rules are broken, we may suspend or close the Customer’s accounts at once and claim compensation for the damage caused. This section continues to apply after an account is closed.

7. Availability and changes to the Portal

The Portal is provided “as is” and “as available”. We do not promise that it will be available at all times, free of errors or suitable for any particular purpose, and we may change, suspend or discontinue it, or any part of it, at any time. Orders can always also be placed by email.

8. Limitation of liability

1. To the extent permitted by law, Põhjala is not liable for any loss or damage arising from the use of the Portal or from being unable to use it, including from reliance on information shown in it, delays, interruptions, errors, lost or unprocessed orders, or use of the Customer’s accounts by others.
2. Põhjala is in no event liable for indirect or consequential loss, loss of profit, revenue, business, goodwill or data.
3. Põhjala’s total liability arising from the use of the Portal is limited to EUR 500 per Customer per calendar year. Liability for goods that Põhjala has agreed to sell is governed solely by the terms named in section 5.4.
4. Nothing in these terms limits liability that cannot be limited by law, including liability for intentional breach or gross negligence.

9. Customer’s responsibility

The Customer compensates Põhjala for loss and claims caused by a breach of these terms by the Customer or its users, including breaches of section 6 and resale or import without the required licences.

10. Intellectual property

The Portal, its content and the Põhjala names, logos and product names belong to Põhjala or its licensors. Using the Portal gives no rights to them other than to use the Portal as these terms allow.

11. Personal data

We process the personal data of Portal users as described in the Privacy Policy.

12. Ending the use of the Portal

The Customer may stop using the Portal and delete its users’ accounts at any time (Settings, or by email). Põhjala may close accounts or end access to the Portal at any time. Confirmed orders are not affected.

13. Changes to these terms

We may change these terms. We will show the new version in the Portal and ask users to accept it before they continue; changes do not affect orders already confirmed.

14. Law and disputes

These terms are governed by the laws of the Republic of Estonia. Disputes that cannot be settled by negotiation are decided by Harju County Court (Harju Maakohus) in Tallinn, unless the parties’ agreement names another forum.

15. Other

If a provision of these terms is invalid, the rest remain in force. Not enforcing a right is not a waiver of it. These terms are written in English; translations are for convenience only. Questions: order@pohjalabeer.com.
